1. AGREEMENT TO TERMS

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Bio Aion, LLC (“Company,” “Bio Aion,” “we,” “us,” or “our”), an Arizona limited liability company, governing your access to and use of this website (the “Site”) and any products, services, or materials offered through it.

By accessing the Site, placing an order, or submitting payment, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, and the Legal Disclaimer. If you do not agree, you must discontinue use immediately.

2. ELIGIBILITY & USER CERTIFICATIONS

By accessing the Site or purchasing any product, you represent and warrant that:

  • You are at least twenty-one (21) years of age
  • You are acting in a research capacity
  • You are a qualified research professional or authorized institutional representative
  • Products are purchased exclusively for in-vitro laboratory research
  • You will not use products for:
    • Human or animal use
    • Clinical, diagnostic, therapeutic, or medical purposes
  • You are solely responsible for compliance with all applicable laws and regulations

3. RESEARCH-USE-ONLY (RUO) DISCLAIMER

All products sold by Bio Aion, LLC are designated RESEARCH USE ONLY (RUO).

Products are NOT:

  • Drugs
  • Dietary supplements
  • Medical devices
  • Food additives
  • Approved for human or veterinary use

None of the products have been evaluated by the U.S. Food and Drug Administration (FDA). Any use outside permitted laboratory research constitutes a material breach of these Terms.

4. MANUFACTURING SOURCE & QUALITY ASSURANCE DISCLAIMER

Bio Aion, LLC sources products or materials from independent third-party manufacturers, which may be located within or outside the United States, and may also commission manufacturing through independent facilities.

Bio Aion, LLC does not control or assume responsibility for third-party manufacturing processes and expressly disclaims liability arising from manufacture, synthesis, or upstream handling, to the maximum extent permitted by law.

Notwithstanding the foregoing, Bio Aion, LLC implements independent, U.S.-based quality assurance and verification protocols, which may include:

  • Third-party laboratory testing
  • Verification of compound identity, purity, and composition
  • Batch-level analytical review
  • Additional quality assessments deemed appropriate

Such testing is conducted for informational and quality verification purposes only and does not constitute a warranty, guarantee, or assumption of liability.

5. NO MEDICAL, LEGAL, OR SCIENTIFIC ADVICE

All Site content is informational only and does not constitute medical, legal, scientific, or regulatory advice. You are solely responsible for consulting qualified professionals.

6. PROHIBITED CONDUCT

You agree not to:

  • Use products for human or animal consumption
  • Resell, repackage, or redistribute products
  • Conduct clinical or diagnostic testing
  • Misrepresent identity or intent
  • Reverse-engineer proprietary materials
  • Circumvent eligibility requirements

7. SALES, SHIPPING & DELIVERY — ALL SALES FINAL

All purchases are final, non-cancelable, and non-refundable.

Bio Aion, LLC ships only to:

  • The continental United States
  • Alaska
  • Hawaii

We do not ship internationally or to U.S. territories or APO/FPO/DPO addresses.

Orders typically ship within one (1) business day of payment confirmation. Shipping timelines are estimates only.

7.1 Risk of Loss

Title and risk of loss transfer to the purchaser upon carrier acceptance.

7.2 Delivery Issues

Insured shipments may qualify for a one-time replacement, subject to verification. Claims must be submitted within 48 hours of delivery status.

8. PAYMENT PROCESSING

Payments are processed through PCI-DSS compliant third-party providers. Bio Aion, LLC does not store payment credentials and is not responsible for processor delays, fraud holds, or account freezes.

9. TERMINATION OF ACCESS

Bio Aion, LLC may suspend or terminate access to the Site or services at any time for violation of these Terms or applicable law.

10. INTELLECTUAL PROPERTY

All Site content and materials are the exclusive property of Bio Aion, LLC and may not be used without written authorization.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by Arizona law, Bio Aion, LLC’s liability shall not exceed the amount paid by you for the product giving rise to the claim.

12. INDEMNIFICATION, RELEASE, & WAIVER OF CLAIMS

To the maximum extent permitted by applicable law, you expressly agree to defend, indemnify, and hold harmless Bio Aion, LLC, including without limitation its members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”), from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, penalties, fines, judgments, costs, and expenses (including reasonable attorneys’ fees, arbitration costs, and expert fees) arising out of or related to:

  • Your access to or use of the Site;
  • Your purchase, possession, handling, storage, transport, testing, or use of any product;
  • Any use or misuse of products, whether for professional, laboratory, research, experimental, academic, commercial, or personal purposes, whether authorized or unauthorized;
  • Any deviation from the stated research-use-only (RUO) limitations;
  • Any reliance on information, testing data, certificates, or content provided by Bio Aion, LLC;
  • Any breach of these Terms, the Privacy Policy, or any related agreement;
  • Any violation of applicable law, regulation, rule, or professional standard.

12.1 Assumption of Risk

You expressly acknowledge and agree that all risk associated with the purchase, possession, handling, testing, and use of any product is assumed solely by you. You further acknowledge that Bio Aion, LLC does not control downstream use of any product and makes no representations or warranties, express or implied, regarding safety, legality, suitability, outcomes, or compliance for any use.

12.2 Release of Liability

To the fullest extent permitted by Arizona law, you hereby irrevocably release, waive, and discharge the Indemnified Parties from any and all claims, whether known or unknown, suspected or unsuspected, accrued or unaccrued, arising out of or related to:

  • Use or misuse of any product;
  • Exposure to, handling of, or interaction with products;
  • Reliance on information, testing, or documentation;
  • Any alleged injury, loss, damage, or harm of any kind;
  • Any civil, administrative, regulatory, or third-party claim arising from your conduct.

This release applies regardless of the theory of liability, including negligence, strict liability, breach of contract, misrepresentation, or statutory claims, except where such waiver is prohibited by law.

12.3 Waiver of Legal Action & Remedies

You knowingly and voluntarily waive any right to initiate or participate in:

  • Lawsuits;
  • Clas>s actions or collective actions;
  • Representative or private attorney general actions;
  • Administrative or regulatory proceedings seeking private relief, monetary recovery, or individual remedies;

against Bio Aion, LLC or any Indemnified Party, except as expressly permitted under the binding arbitration provision of these Terms.

Nothing in this Section shall be construed to prohibit or restrict your right to submit information, complaints, or inquiries to governmental or regulatory authorities acting in an official enforcement, investigatory, or supervisory capacity. However, you expressly waive any right to recover damages, restitution, penalties, or other individual relief arising from such submissions, to the maximum extent permitted by law.

You further waive any right to seek consequential, incidental, special, punitive, or exemplary damages, to the extent permitted by law.

12.4 Survival

The provisions of this Section 12, including but not limited to indemnification, assumption of risk, release of liability, and waiver of claims, shall survive termination of these Terms, completion of any transaction, delivery, or use of any product, and cessation of access to or use of the Site.

13. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or transaction shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in Maricopa County, Arizona, in accordance with the AAA Commercial Arbitration Rules.

The arbitrator shall have exclusive authority to resolve any dispute regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this agreement is void or voidable.

You knowingly and irrevocably waive any right to trial by judge or jury and any right to participate in a class or representative action.

14. MISCELLANEOUS

  • Severability: Invalid provisions do not affect remaining terms
  • Entire Agreement: These Terms constitute the full agreement
  • No Waiver: Failure to enforce is not a waiver
  • Force Majeure: No liability for events beyond reasonable control
  • Assignment: Rights may be assigned without notice
